Coverage and terms

Subscription commitments and customer responsibilities.

Service coverage

Coverage applies to each enrolled supervisory system and includes secure router installation, ongoing remote BMS support and alarm monitoring, and one remote BMS inspection per subscription year. The inspection includes system backups stored off site, alarm cache clearing, a functionality review and a health report. Work outside this scope requires separate authorization and pricing.

Subscription and cellular billing

The base fee is $95/month per supervisory system, payable monthly, in quarterly installments of $285, or annually in full at $1,140. Required cellular service adds its monthly cost to the subscription. Optional user access keys are one-time charges at the rates shown above.

Term and cancellation

The initial commitment is 12 months from service activation. After the first year, the subscription automatically continues month to month and may be cancelled with 30 days' written notice to sales@Utah-BAC.net. Cancellation during the first year makes all remaining unpaid base subscription fees for that initial 12-month term due. Future cellular charges are excluded from this early-cancellation balance. Charges through the effective cancellation date remain payable.

Hardware lease and customer responsibility

Remote access hardware is leased to the customer as part of the subscription and remains Utah-BAC property. From installation until returned to Utah-BAC, the customer must safeguard the hardware and is responsible for loss, theft or damage, excluding normal wear and tear. The customer must promptly report incidents and pay reasonable repair or replacement costs. Hardware must be returned within 30 days after the effective cancellation date. Hardware not returned by this deadline incurs a $1,500 non-return fee. Unpaid subscription charges remain payable.

Customer access and connectivity

The customer must provide timely access to the site and covered equipment, power, necessary network permissions and a functioning internet connection unless cellular service is selected. Remote access and monitoring depend on available power, connectivity and functioning customer systems.

Payment and default

Invoices are due within 30 days of receipt. If a payment is more than 30 days past due, Utah-BAC may suspend service or cancel the agreement and pursue collection of amounts owed. Service obligations may remain suspended until the default is cured. Billing questions: AR@gunthers.com.

Service limitations and liability

24/7 availability refers to Utah-BAC's remote system access; support and monitoring have no guaranteed response time. To the extent permitted by law, Utah-BAC is not liable for delays caused by circumstances beyond its reasonable control, or for incidental or consequential damages.

Governing law and severability

Utah law governs. The parties consent to jurisdiction and venue in Utah County state courts or, where federal jurisdiction applies, the U.S. District Court for the District of Utah. If any provision is unenforceable, the remaining provisions continue in effect to the extent permitted by law.
